Lumiance Pty Ltd ("Lumiance", "we", "us", "our") — Effective date: 6 October 2026. Review the terms governing your access to and use of our website, features, and technology advisory services.

These Terms of Service ("Terms") govern your access to and use of the Lumiance website (the "Site") and general use of our information and enquiry features. By using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

Paid engagements (consulting, software development, ERP/CRM implementation, AI and automation, AI video production, managed services and Microsoft licensing) are governed by a separate written proposal, statement of work or services agreement. If there is any conflict, that signed agreement prevails over these Terms for the services it covers.

2. Use of the Site

You agree to use the Site lawfully and only for legitimate business or informational purposes. You must not:

  • ✕ Use the Site in any way that breaches applicable law or regulation
  • ✕ Attempt to gain unauthorised access to the Site, our systems, servers or networks
  • ✕ Introduce viruses, malware or other harmful code
  • ✕ Scrape, harvest or copy Site content by automated means without our written consent
  • ✕ Interfere with or disrupt the Site's operation or other users' access
  • ✕ Submit false, misleading or unlawful information through our forms

3. Information on the Site

The content on the Site, including descriptions of services, case studies, statistics, partner references and insights, is provided for general information only. It is not professional, legal, financial or technical advice, and you should not rely on it as such without seeking advice specific to your circumstances. Case study results and figures are illustrative and past results do not guarantee future outcomes. We try to keep content accurate and current but make no guarantee that it is complete or error-free.

4. Enquiries, Proposals and Quotes

Submitting an enquiry or requesting a consultation or proposal does not create a contract. Any proposal or quote is an invitation to engage and remains subject to our written agreement, availability and the terms stated in the proposal. Unless a proposal says otherwise, quotes are valid for 30 days.

5. Intellectual Property

All content on the Site, including text, graphics, logos, videos, design, code and the Lumiance name and branding, is owned by or licensed to Lumiance and protected by Australian and international intellectual property laws. You may view and print Site content for your own internal business use. You must not reproduce, distribute, modify or commercially exploit it without our prior written permission.

Third-party names and logos, including Microsoft, SAP, Salesforce, Azure, Dynamics 365 and OpenAI, are trademarks of their respective owners. Their appearance on the Site does not imply endorsement beyond any formal partner relationship that applies.

Ownership of deliverables created for clients (software, videos, documents and so on) is governed by the applicable services agreement.

6. Your Submissions

If you send us content through the Site (for example, an enquiry or project brief), you confirm you have the right to do so and that it does not infringe any third party's rights or break the law. You grant us a non-exclusive licence to use that content to respond to you and assess or deliver the requested services. See our Privacy Policy for how we handle personal information.

8. Disclaimers

To the maximum extent permitted by law, the Site and its content are provided "as is" and "as available", without warranties of any kind, express or implied. We do not warrant that the Site will be uninterrupted, secure or free of errors or harmful components.

Nothing in these Terms excludes, restricts or modifies any right or remedy, or any guarantee, warranty or other term, that cannot be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law.

9. Limitation of Liability

To the maximum extent permitted by law, and subject to the paragraph above, Lumiance and its directors, employees and agents are not liable for any indirect or consequential loss, loss of profit, revenue, data or business opportunity, arising from your use of, or inability to use, the Site or reliance on its content. Where liability cannot be excluded, and where permitted by law, our liability for breach of a non-excludable guarantee is limited, at our option, to resupplying the relevant services or paying the cost of having them resupplied.

10. Indemnity

You agree to indemnify Lumiance against any claim, loss or expense (including reasonable legal costs) arising from your breach of these Terms or your misuse of the Site, to the extent permitted by law.

12. Confidentiality

Please do not send us confidential or commercially sensitive information through the Site's general forms before an appropriate confidentiality or non-disclosure agreement is in place. We are happy to enter into an NDA before you share sensitive project details.

13. Suspension and Termination

We may suspend or restrict your access to the Site at any time, without notice, if we believe you have breached these Terms or are misusing the Site.

14. Changes to the Site and Terms

We may change, suspend or discontinue any part of the Site at any time. We may also update these Terms from time to time. The updated Terms will be posted on this page with a revised effective date, and continued use of the Site means you accept them.

15. General

Governing law: These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, are the entire agreement between you and us about use of the Site.
Severability: If any provision is found to be unenforceable, the rest remain in effect.
Waiver: Our failure to enforce a provision is not a waiver of it.
Assignment: You may not assign your rights under these Terms without our written consent.
